Senior Manager – Secretarial Job in PAN India at Sammaan Capital Ltd

Key Responsibilities:

1. Listed Company & Regulatory Compliances:

• Ensure full compliance with SEBI Regulations (including SEBI LODR, Insider Trading Regulations, Takeover Code, etc.).
• Handle applicable RBI and other regulatory compliances, as relevant to the company.
• Monitor changes in laws and regulations and advise management on impact and implementation.

2. Interaction & Liaison with Statutory Authorities:

• Regular interaction and liaison with MCA, ROC, Regional Director (RD), RBI, SEBI, Exchanges and other regulatory authorities.
• Handling filings, applications, representations, clarifications, and follow-ups with statutory authorities.
• Responding to notices, queries, observations, and inspections from regulators and coordinating submissions.

3. Board, Shareholders & Committee Meetings:

• Preparation of agenda notes, explanatory statements, resolutions, and presentations for Board, Committee, and Shareholders’ meetings.
• Drafting, finalisation, and maintenance of minutes of Board, Committee, and General Meetings in compliance with applicable laws and standards.
• Tracking and ensuring timely implementation of decisions taken at meetings.

4. Companies Act & Corporate Law Matters:

• Ensure compliance with the Companies Act, 2013, rules made thereunder, and allied corporate laws.
• Advising management and senior leadership on corporate governance, disclosures, and statutory requirements.
• Handling corporate actions, appointments, resignations, disclosures, and related filings.

5. Statutory Registers & Records:

• Maintenance, updating, and safe custody of statutory registers, records, and secretarial documents as prescribed under the Companies Act.
• Ensuring secretarial records are audit-ready at all times.

6. Coordination & Audit Support:

• Coordination with Statutory Auditors, Secretarial Auditors, Internal Auditors, Legal Advisors, RTA, and Consultants.
• Providing support during audits, regulatory inspections, and due diligence exercises.
